     This Amendment No. 6 (this “Amendment”) amends and supplements the Tender Offer Statement on Schedule TO originally filed with the Securities and Exchange Commission on September 13, 2005, as amended and supplemented by Amendment No. 1 to the Tender Offer Statement on Schedule TO filed with the Securities and Exchange Commission on September 27, 2005, Amendment No. 2 to the Tender Offer Statement on Schedule TO filed with the Securities and Exchange Commission on September 29, 2005, Amendment No. 3 to the Tender Offer Statement on Schedule TO filed with the Securities and Exchange Commission on October 5, 2005, Amendment No. 4 to the Tender Offer Statement on Schedule TO filed with the Securities and Exchange Commission on October 12, 2005, and Amendment No. 5 to the Tender Offer Statement on Schedule TO filed with the Securities and Exchange Commission on October 12, 2005 (collectively, the “Schedule TO”) by Dycom Industries, Inc., a Florida corporation (the “Company”), relating to a tender offer by the Company for up to 9,500,000 shares of its common stock (the “Shares”), par value $0.33 1/3 per share, including the associated preferred stock purchase rights (the “Rights”) issued under the Shareholder Rights Agreement dated April 4, 2001 between the Company and First Union National Bank, as Rights Agent, at a price not greater than $21.00 nor less than $18.50 per share, net to the seller in cash, without interest, upon the terms and subject to the conditions set forth in the Offer to Purchase, dated September 13, 2005, and in the related Letter of Transmittal (which, as amended or supplemented from time to time, together constitute the “Offer”). This Amendment is intended to satisfy the reporting requirements of Rule 13e-4(c)(4) of the Securities Exchange Act of 1934, as amended.
     The information in the Offer is incorporated in this Amendment by reference in response to all of the applicable items in the Schedule TO, except that such information is hereby amended and supplemented to the extent specifically provided herein.

DYCOM INDUSTRIES, INC. ANNOUNCES FINAL RESULTS OF ITS DUTCH AUCTION
TENDER OFFER
Palm Beach Gardens, Florida, October 17, 2005—Dycom Industries, Inc. (NYSE Symbol: “DY”) announced today the final results of its modified “Dutch Auction” tender offer, which expired at 12:00 midnight, New York City time, on October 11, 2005.
Based on the final tabulation by Wachovia Bank, N.A., the depositary for the tender offer, 8,763,451 shares of common stock were properly tendered and not withdrawn at prices at or below $21.00 per share. As a result, the Company has accepted for purchase 8,763,451 shares of common stock at a purchase price of $21.00 per share, for a total cost of approximately $184.0 million.
Wachovia Bank, N.A. will promptly issue payment for the shares validly tendered and accepted for purchase and will return all other shares tendered and not accepted for purchase.
Goldman, Sachs & Co. and Merrill Lynch & Co. acted as dealer managers for the tender offer, and Georgeson Shareholder Communications Inc. acted as the information agent for the tender offer.
Dycom is a leading provider of specialty contracting services throughout the United States. These services include engineering, construction, maintenance and installation services to telecommunications providers, underground locating services to various utilities, including telecommunications providers, and other construction and maintenance services to electric utilities and others.
